This letter sets forth the objectives and terms of our proposed engagement and the nature of the services RemoteBooksOnline, LLC will provide to you and/or your company, (the “Client”).
WORK TO BE DONE
A. Scope/Limitations.
RemoteBooksOnline, LLC does not provide forensic auditing. Accordingly, our engagement for accounting services will not, and cannot, be relied upon to disclose financial errors, irregularities or illegal acts such as fraud or misappropriation which may exist or take place during the term of our engagement. Incomplete or inaccurate information provided to RemoteBooksOnline, LLC will affect the ability of RemoteBooksOnline, LLC to perform the services for which it is being retained. Should such matters come to our attention during the provision of services same shall be disclosed to the Client forthwith.
B. Agreed Upon Services.
All services will be agreed upon during Client Account Review meeting in which the Client and a representative of RemoteBooksOnline, LLC will be present. By having you clearly identify the specific services you wish provided and their frequency, we hope to better meet your expectations of service. Any changes will be mutually agreed upon and confirmed in writing.
FEE SCHEDULE
The following is our fee schedule:
A. Professional Fees.
All fees and payment schedule will be outlined during the Client Account Review Meeting. Fees for professional services will be based on the number of entries of transactions and accounts that you or your business has. We require a minimum retainer before work can begin. Fees are subject to change without notice.
B. Factors Affecting Fees.
Additional optional services may be provided upon request. RemoteBooksOnline, LLC reserves the right to alter pricing based on market demands.
C. Direct Expenses.
Additional charges for computer services, fax transmissions, report production and other out of pocket disbursements, including travel costs, may be added to our professional fees. Such charges are in addition to any estimated fees given and will be due and payable upon receipt of invoice as billed monthly. We will advise you in advance if such charges will apply before assessing these charges.
D. Terms of Payment.
All billings are ‘DUE ON RECEIPT’. All amounts unpaid after 30 days are subject to interest at 2% per month (24% per annum), calculated from the invoice date, on the total outstanding amount.
TERMINATION
Either party may terminate this relationship on thirty (30) days written notice to the other, including email notification, provided that such notice has been received. In the event that the Client provides less than thirty (30) days’ notice, the average of one month’s billings plus applicable GST will be payable in lieu of notice. The average one month’s billings will be calculated from the prior twelve (12) months when services were provided. During the 30-day termination period projects in process shall be completed if possible, and no other work shall be undertaken unless the parties agree in writing to specific terms for the additional work. Refund requests made by the client will be reviewed by RemoteBooksOnline on a case-by-case basis. No refunds shall be given for payments made more than 90 days prior to the refund request.
LIMIT OF LIABILITY
A. The Client hereby agrees that any liability of RemoteBooksOnline, LLC or any representative of RemoteBooksOnline under this agreement, regardless of form of action, shall be limited to the most recent monthly amount billed for services agreed to hereunder as its exclusive remedy. Client agrees that it shall not make any claim against RemoteBooksOnline, LLC or or any representative of RemoteBooksOnline, LLC beyond such amount of monthly account, and RemoteBooksOnline, LLC and any representative of RemoteBooksOnline, LLC may rely on this paragraph as a complete bar to any such claim.
B. More specifically the Client agrees that RemoteBooksOnline, LLC and or any representative of RemoteBooksOnline are not, and shall not be deemed to be liable for any losses resulting from advice provided by them or either of them, or from work done by them, or for loss of profits of the Client or of any other party which may flow there from, whether it be direct or incidental, whether or not they have been advised of the possibility of such damages, and the Client acknowledges and agrees to same hereto.
C. Neither party may bring any action arising out of the services under this agreement, regardless of form, more than one year after the date of the last services provided under this agreement.
INDEMNIFICATION & NON-DISCLOSURE
The Client agrees to release, indemnify and hold RemoteBooksOnline, LLC and or any representative of RemoteBooksOnline, LLC, (their partners, executors, heirs, successors and assigns) harmless from any and all liability and costs resulting from any known misrepresentations or fraud participated in by management or any of them, or such errors resulting from incomplete or inaccurate information provided by management, and such indemnity shall not be limited to the term of this contract but shall be ongoing even after its termination.
The Client also acknowledges that the RemoteBooksOnline, LLC and or any representative of RemoteBooksOnline, LLC in the course of their work may view or otherwise come into contact with information the Client considers confidential. In such a case the RemoteBooksOnline, LLC and or any representative of RemoteBooksOnline, LLC undertake to keep such information confidential subject to governing law, jurisprudence and/or order of a court of competent jurisdiction and the Client agrees that no action can be taken against RemoteBooksOnline, LLC and or any representative of RemoteBooksOnline, LLC as a result of their view or contact with the confidential information unless RemoteBooksOnline, LLC and or any representative of RemoteBooksOnline, LLC fail to honor their undertaking as defined in this paragraph.
APPLICABLE LAW
This engagement letter shall be governed as to validity, interpretation, construction, effect and in all other respects by the laws and decisions of Knoxville, Tennessee. In the event of commencement of any legal action regarding any term or condition of this engagement such action by agreement is to be subject to the jurisdiction of the courts of Knox County, Tennessee.
COMPLETE AGREEMENT
This letter comprises the complete agreement between the parties, superseding all proposals oral or written and all other communications between the parties. If any provision of this letter is determined to be unenforceable, all other provisions shall remain in force. The privacy of any information provided is valued to be precious and RemoteBooksOnline is committed to protecting its confidentiality. We do not collect any personal data without your consent. We reciprocate the trust in us to act in a responsible manner per applicable jurisdictions.
Any of the information we collect from you may be used to respond more efficiently to your requests and anticipate your needs.
We welcome your comments or questions. We will share your comments and questions with our customer service representatives and those employees most capable of addressing your questions and concerns. We recommend you to provide the information that you consider confidential via phone at the numbers provided at various locations on our sites, as there is chance of hacking of your email while in transit.
RemoteBooksOnline will not sell, license, transmit or disclose this information outside of RemoteBooksOnline and its affiliated companies unless (a) expressly authorized by you, (b) necessary to enable RemoteBooksOnline contractors or agents to perform certain functions for us, or (c) required or permitted by law.
Cookie technology may be used by RemoteBooksOnline (i.e. an element of data that a website can send to your browser when you link to that website). Cookies are only used to recognize repeated users and pattern changes for better client support. Cookies have no ability to extract any other personal information from your computer.
In the interest of the clients, RemoteBooksOnline may provide external links to other websites. RemoteBooksOnline is in no way responsible for the privacy practices used by these sites. Mere links should not be deemed as an endorsement by RemoteBooksOnline for any products and services described on these sites.
RemoteBooksOnline has adopted and adheres to stringent security standards designed to protect non-public personal information against accidental or unauthorized access or disclosure. Among the safeguards that RemoteBooksOnline has developed for this site are administrative, physical and technical barriers that together form a protective firewall around the information stored at this site.
RemoteBooksOnline respects our customer's privacy and recognizes your need to preserve the security of its customer's information that may be submitted when they visit the RemoteBooksOnline website. "Personal information" is information that (i) is captured in any form (ii) is about you, or related to you, (iii) can be linked to you. Examples of personal information are visitors name, telephone number, e-mail address and physical address, as well as other non-public information that is in connection with the foregoing. As our customers expect us to act in a responsible manner, when you choose to provide RemoteBooksOnline with information about yourself, RemoteBooksOnline has made this policy to make sure all the information collected is not shared with any other person.
If a customer agrees to use any of the service(s) provided by RemoteBooksOnline or registers online for the service, we (RemoteBooksOnline) will collect credit card information and other payment information to successfully complete the process of registration. This will require us to share username, credit card number, expiration date, and billing address with a credit card processing company. Also in order to complete the payment processing we may transfer or disclose this payment information to that extent.
RemoteBooksOnline Subscriber: We may ask the subscriber for the necessary information related to his or her bookkeeping and other activities connected to it.
Cookies: A cookie is a message given to a web browser by a web server. The message is stored in text files by the browser. The primary purpose of cookies is to identify users and possibly prepare customized web pages for them. Usage of the cookie is no way related to any personally identification, while on our site and cannot breach the privacy of our customers. RemoteBooksOnline does not deposit or use cookies on clients' computers.
Minors: We do not collect or maintain information on our website from or sell products to those we actually know are under the age of 18. We also recommend you to ask your parent or guardian to assist you in using our services if you are under the age of 18.
Security: Our Web site is secure and we take every precaution to protect the information of our clients. When clients submit sensitive information via the web site, the information is protected both on-line and off-line. When our registration form asks customers to enter sensitive information(such as a credit card number), the information is encrypted and is protected with encryption software meeting all current industry standards. While we use encryption to protect sensitive information online, we also do everything in our power to protect user-information off-line. All of our users' information, not just the sensitive information mentioned above, is restricted in our offices. Only employees who need the information to perform a specific job (for example, a customer service representative) are granted access to personally identifiable information. Our employees use password-protected screen-savers when they leave their desk. When they return, they must re-enter their password to re-gain access to user information. Furthermore, ALL employees are kept up-to-date on our security and privacy practices. Every quarter, as well as any time new policies are added, our employees are notified and reminded about the importance we place on privacy, and what they can do to ensure our customers' information is protected. Finally, the servers that we store personally identifiable information on are kept in a secure environment.
Notification of Changes: RemoteBooksOnline reserves the right to update this Privacy Policy at any time by posting changes online without notice to you. The most current version of the Privacy Policy can be reviewed by clicking on the "Privacy Policy" hypertext link located on our Web site www.RemoteBooksOnline.com. It is your responsibility to refer to this Privacy Policy before submitting any information on the website or to a representative of RemoteBooksOnline. Submitting your information after such changes to the Privacy Policy constitutes acceptance of those posted changes. If at any point we decide to use personally identifiable information in a manner different from that stated at the time it was collected, we will notify the client via e-mail. We will use information in accordance with the privacy policy under which the information was collected.
Any change in this statement is reflected by the change in the Privacy Policy Version Date. We recommend you to reread the changes and keep yourself informed. This statement is not intended to and does not create any contractual or other legal rights in or on behalf of any party.
